The agreement between your company and Lutfios LLC for the use of onMESSE.
onMESSE is operated by Lutfios LLC, a limited liability company organised under the laws of the United States — “onMESSE”, “we”, “us”. These Terms of Service (the “Terms”) govern access to and use of the onMESSE platform: the website at onmesse.com, every online fair hosted on it (each an “Edition”), the member panel and fair area, the mobile application, and every related feature (together, the “Services”).
By creating an account, accepting an invitation to a company, registering for an Edition or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.
onMESSE is a business-to-business platform. It is intended for people acting on behalf of a company or organisation in the course of their work, not for consumers.
You must be at least 18 years old and able to enter into a binding contract. If you accept these Terms on behalf of an organisation, you confirm that you are authorised to bind it, and “you” means that organisation.
onMESSE has no passwords. You sign in with a one-time code sent to your email address, which means your mailbox is the credential for your account. Keep it secure, and tell us promptly at privacy@onmesse.com if you believe someone else has access to it.
Codes are single-use, expire after ten minutes and are limited to five attempts. Do not share a code with anyone, including anyone claiming to be from onMESSE — we will never ask you for one.
Changing the email address on your account requires confirming a code sent to the new address, and a notice is sent to the previous one. You are responsible for everything done through your account.
Accounts belong to companies. The first person to complete onboarding for a company creates it and becomes its owner; owners and managers may invite colleagues by email.
Access to an Edition is held by the company, not by the individual. When a company is granted access, every current and future member of that company inherits it for as long as it remains active. Before you invite someone, be satisfied that they should see what your company has bought.
You are responsible for your members’ use of the Services and for removing people who leave your organisation.
Each fair is sold separately, edition by edition, with its own packages, dates and terms shown on that fair’s page at the time you register.
Access is granted, not purchased automatically: an owner or manager requests access for the company, and we review and grant it. A request creates no obligation on either side until we grant it. Fees, invoicing and payment terms are agreed outside the platform unless the fair page states otherwise, and are quoted exclusive of applicable taxes.
We may end or suspend access at the end of a paid period, on expiry of a grant, or as described in the suspension section below.
Parts of the Services are published before a fair opens and are marked as previews. Content shown there — sample exhibitors, sessions, programmes, matches and activity — is illustrative and does not describe any real company, person or event.
Do not rely on preview content for any decision. It is labelled on every screen where it appears.
You keep ownership of the company profiles, product information, media and other materials you upload (“Your Content”).
You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, adapt for display and transmit Your Content, solely to operate and improve the Services — including generating match suggestions and showing your profile to other participants in an Edition you joined. The licence ends when you delete the content, except for copies retained in backups or where we must keep them by law.
You confirm that you have the rights needed to upload Your Content and that it does not infringe anyone else’s rights.
You agree not to:
onMESSE uses automated analysis of profile and product data to suggest which participants may be a good fit for each other, and offers assistant features that generate text.
These outputs are suggestions, not advice, and not a warranty of quality, suitability, accreditation or commercial outcome. They can be wrong or incomplete. Every decision about who to meet, what to buy and whom to trust remains yours, and you should carry out your own checks.
Generating these outputs involves processing the relevant content through a third-party model provider. Do not submit personal data you would not want processed that way, and never submit special-category data such as patient records or health information about identifiable individuals.
We aim to keep the Services available, but they are provided without any uptime commitment unless we have agreed one with you in writing. We may change, add or remove features, and may schedule maintenance.
Features marked preview, beta or early access may change or be withdrawn at any time and are provided as-is.
You may stop using the Services at any time and may ask us to close your account.
We may suspend or terminate access — in whole or in part, and where practicable with notice — if you breach these Terms, if your use puts the platform, an Edition or other participants at risk, if fees agreed for an Edition are not paid, or if we are required to by law.
Sections that by their nature should survive termination do so, including content licences already granted for material still in use, disclaimers, liability limits, indemnity and governing law.
The Services, the onMESSE name and logo, and all software, design, text and structure we provide belong to Lutfios LLC or its licensors. These Terms grant you a limited, revocable, non-exclusive, non-transferable right to use the Services for your own business purposes, and nothing more.
onMESSE is a venue. We do not vet, endorse, certify or guarantee any participant, exhibitor, buyer, agency, product, service, accreditation or claim published on the platform, and we are not a party to any agreement you reach with another participant.
To the fullest extent permitted by law, the Services are provided “as is” and “as available”, and we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.
Nothing on onMESSE is medical, legal, tax or financial advice.
To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, nor for lost profits, lost business, lost data or lost opportunity, however caused.
Our total aggregate liability arising out of or relating to the Services is limited to the amounts you paid us for the Edition giving rise to the claim in the twelve months before the event that caused it, or one hundred United States dollars if you paid nothing.
Nothing here limits liability that cannot be limited by law, including for fraud, or for death or personal injury caused by negligence.
You will defend and indemnify Lutfios LLC against third-party claims arising from Your Content, from your use of the Services in breach of these Terms, or from your dealings with other participants.
These Terms are governed by the laws of United States, without regard to conflict-of-law rules, and the courts located there have exclusive jurisdiction, save that either party may seek injunctive relief wherever necessary to protect its intellectual property.
If you are a business established in the European Union, Türkiye or the United Kingdom, this choice does not remove any protection given to you by mandatory provisions of the law of your own country that cannot be contractually varied.
We may update these Terms. If a change is material we will give reasonable notice — by email or in the platform — before it takes effect. Continuing to use the Services after that date means you accept the updated Terms.
